Review Optics grants you a personal, royalty-free, non-assignable, and non-exclusive license to use the software provided as part of the Services. You are prohibited from licensing, sublicensing, selling, transferring, assigning, distributing, or commercially exploiting the Services or the content

You are solely responsible for any activity conducted using your Credentials, whether authorized or not. In case of unauthorized use or if your email or password is compromised or stolen, you must immediately notify Review Optics. 3. User-generated content:

By sharing User Content through the Site and Services, you grant Review Optics a worldwide, irrevocable, perpetual, non-exclusive, transferable, royalty-free license to use, modify, distribute, display, perform, transmit, and otherwise utilize such User Content on the Site and Services. Review Optics acknowledges that it does not claim ownership over User Content and this agreement does not limit your rights to use your own User Content.

You are solely responsible for all User Content you share and represent that you either own the rights to the User Content or have obtained necessary permissions. You further warrant that the User Content and your actions related to it do not infringe upon any third-party rights or violate laws.

Review Optics reserves the right to remove User Content at its discretion. You agree to promptly remove any User Content that violates the Terms, including complying with take-down requests. Failure to comply may result in Review Optics directly removing the User Content.

4. Third Party Services/Materials:

Through Review Optics, you can access third-party services, resources, content, or information ("Third Party Materials"). When using Review Optics to search the Internet, selected portions of data sources are presented to you. You are solely responsible for any risks associated with accessing or using Third Party Materials. Review Optics is not liable for any harm, injuries, or losses resulting from your use of such Third-Party Materials or User Content via Review Optics.

(a) Review Optics is not responsible for the availability or accuracy of Third-Party Materials, or the products/services offered through them.

(b) Review Optics has no liability for any harm, injuries, or losses related to your use of Third-Party Materials.

(c) Review Optics does not guarantee the removal of Third-Party Materials from the Services.

(d) Review Optics does not endorse Third Party Materials or associated third-party services.

(e) Review Optics is not responsible for the deletion or failure to store any Third-Party Materials transmitted through the Services.

5. Compliance with 3rd Party Review Site Policies:

Businesses using the Review Optics platform must adhere to the Terms of Service of major review sites, including but not limited to Google, Facebook, Yelp, and others.

Review Gating: Businesses using Review Optics are prohibited from implementing review gating practices. Review gating involves asking customers if their experience was positive or negative and directing them accordingly. Positive experiences lead to online reviews, while negative experiences are often redirected to a non-public comment form.

Equal Feedback Options: When soliciting reviews through the Review Optics platform, businesses must offer all recipients the same feedback options, regardless of their sentiment. This applies to standard review templates, custom email templates, and surveys.

Prohibition of Review Solicitation: Businesses using Review Optics must fully comply with review sites like Yelp, which prohibit review solicitation. They will not misuse the Review Optics platform to bypass the policies of review sites.

Non-Compliance with 3rd Party Review Site Policies: If a business attempts to circumvent the Terms of Service of 3rd party review sites, Review Optics will notify the business and provide a 30-day period to take corrective action. Failure to comply within this notice period will result in the suspension of the business's Review Optics account.

Businesses must comply within the 30-day notice period, or their account will be suspended from Review Optics.

6. Third-Party Software:

The Services include specific third-party software ("Third-Party Software") that is licensed to you under the terms and conditions set by the third-party licensing that software. Your rights under the applicable license for such Third-Party Software are not restricted or superseded by anything in these Terms.

7. Eligibility to Use:

To use the Services, you must not be prohibited by the laws of Canada or any other country, including your country of residence, from receiving such. By accessing or using the Services, you confirm that you are at least 18 years old, as the Services are not intended for children under the age of 18.

8. TCPA Compliance:

The parties involved are required to comply with the Telephone Consumer Protection Act (TCPA), 47 U.S.C. § 227, and its implementing regulations, the Telemarketing Sales Rule (TSR), 16 C.F.R. Part 310, as mandated by applicable law. As a user of Review Optics Services, you are solely responsible for adhering to any messaging consent obligations outlined in the TCPA and TSR. This includes obtaining explicit opt-in consent from all third parties, including your customers, for sending and receiving SMS and/or emails through Review Optics Services.

It is important to note that any breach of these Terms on your part may result in legal claims, demands, or actions against Review Optics. In such cases, you will be held liable for any damages, liabilities, judgments, fees, fines, costs, and expenses incurred by Review Optics. As part of this, you agree to indemnify, defend, and hold Review Optics harmless, including reasonable attorneys' fees, in the event of any claims arising from your violation of these Terms.

9. Restrictions on Use:

While using the Site, Services, or Review Optics Content, you agree not to engage in any of the following activities:

Access, post, submit, or transmit any material that: a. Infringes, misappropriates, or violates third-party intellectual property rights or rights of publicity or privacy. b. Violates any applicable law or regulation or encourages conduct that would result in civil liability. c. Is fraudulent, false, misleading, or deceptive. d. Is defamatory, obscene, vulgar, or offensive. e. Involves child pornography or child erotica. f. Promotes discrimination, bigotry, racism, hatred, harassment, or harm against individuals or groups. g. Is violent or threatening or promotes violence or threatening actions. h. Promotes illegal activities or substances.

Use, display, mirror, frame, or utilize framing techniques to enclose Review Optics's Site or Services, or any element or materials within them, without explicit written consent from Review Optics.

Access, tamper with, or use non-public areas of the Site or Services, including Review Optics's computer systems or technical delivery systems.

Attempt to probe, scan, or test the vulnerability of any Review Optics system or network, or breach security or authentication measures.

Circumvent, avoid, remove, deactivate, impair, descramble, or bypass any technological measures implemented by Review Optics or its providers to protect the Site, Services, or Review Optics Content.

Attempt to access or search the Site or Services, or download Review Optics Content, using unauthorized tools, software, agents, or mechanisms other than those provided by Review Optics or generally available third-party web browsers.

Send unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, or any form of solicitation.

Use meta tags or hidden text/metadata containing Review Optics's trademark, logo, URL, or product name without explicit written consent.

Use the Site, Services, or Review Optics Content to bring an intellectual property infringement claim against Review Optics or to create a competitive product or service.

Forge TCP/IP packet headers or alter source-identifying information in emails or newsgroup postings sent through the Site, Services, or Review Optics Content.

Attempt to decipher, decompile, disassemble, or reverse engineer any software used to provide the Site, Services, or Review Optics Content.

Interfere with or disrupt the access of any user, host, or network connected to the Site or Services, including sending viruses, overloading, flooding, spamming, or mail-bombing.

Review Optics reserves the right to fully investigate and prosecute violations of the above restrictions, including intellectual property rights infringement and Site and Services security issues. Review Optics may cooperate with law enforcement authorities in prosecuting users who violate these Terms. While Review Optics is not obligated to monitor your access to or use of the Site, Services, or Review Optics Content, it reserves the right to do so to ensure compliance with these Terms, applicable laws, or court/administrative orders. Review Optics also reserves the right, without prior notice, to remove or disable access to any Review Optics Content or User Content that violates these Terms or is deemed harmful to the Site or Services, at Review Optics.com.

21. Entire Agreement, Governing law, Severability, Non-waiver, Assignment:
